Terms of Service

These Terms include the End User Licence Agreement for the Caraidiz app.

These Terms are an agreement between you and Caraidiz Inc., c/o SOHO Workspaces, 447 Broadway, 2nd Floor, New York, NY 10013, United States ("Caraidiz", "we", "us") about your use of the Caraidiz app and website (the "Service"). By creating an account you accept these Terms and our Privacy Policy. If you do not accept them, do not use the Service.

1. Who can use Caraidiz

You must be at least 16 years old. You confirm your age when you create your profile, and accounts we find to belong to someone under 16 are removed along with their content. You must also not be barred from using the Service under the laws that apply to you, and you must not use it if we have previously terminated your account.

2. Your account

• One person, one account. Keep your password to yourself; you are responsible for what happens under your account.
• Your handle must not impersonate anyone else or be offensive. We can reclaim a handle that breaks these Terms.
• Tell us at contact@caraidiz.com if you think someone else is using your account.
• You can delete your account at any time in Settings → Delete Account.

3. Coins and diamonds

Coins and diamonds are in-game items with no monetary value. They are a licence to use a feature of the game, not property, not currency, and not redeemable for money or anything outside the Service. They are earned by playing, and spent on clues and retries.

• Balances are held and calculated on our servers. If coins or diamonds are obtained through a bug, an exploit, automation, or any attempt to manipulate the game, we may correct or remove them and act on the account.
• Unused balances have no cash value at any time, including when an account is closed or the Service is discontinued.
• Buying coins. Coins can be bought in the app through Apple's In-App Purchase system. Apple is the seller and takes the payment, so your card and billing details go to Apple and never to us; we receive confirmation of the purchase and credit the coins. Prices are shown in the app before you buy, in your own currency, and include any tax Apple collects.
• Refunds are handled by Apple, under Apple's refund process and the terms of the App Store — we cannot issue, refuse or reverse an App Store payment. If Apple refunds a purchase, we may remove the coins it credited, including any spent balance that leaves the account negative. Where you have a statutory right of withdrawal, note that the coins are delivered immediately on purchase, so that right may end once delivery has begun.

4. Your content

You keep ownership of everything you post. Your caras, your comments, your pictures — they stay yours.

So that we can actually run the Service, you give us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, transcode, reformat, crop, excerpt for thumbnails, and display your content within the Service, and to allow the providers who deliver the Service (for example our video host) to do the same on our behalf. This licence exists for the purpose of operating the Service and for no other purpose. It ends when you delete the content or your account, except for copies already made by other users outside the Service, and except where we must retain something for safety or legal reasons.

By posting, you confirm that:

• The content is yours, or you have every right needed to post it.
• Everyone recognisable in it agreed to appear and to have it posted.
• It does not infringe anyone's copyright, trade mark, privacy, image or other rights.
• It does not break the Community Guidelines or any law.

Music

We provide a library of music tracks you can add to a cara. You may use them only inside the Service, as part of a cara. You may not download, extract, redistribute, resell or use them anywhere else, and no rights in the tracks transfer to you. The tracks are provided for use inside the Service on an "as is" basis, and to the fullest extent permitted by law we give no warranty of any kind in relation to them. If you believe a track infringes your rights, tell us through the process on the copyright page and we will act on it.

5. Rules — and zero tolerance for abuse

The full list is in the Community Guidelines, which form part of these Terms. In summary, do not post or do any of the following:

• Nudity or sexual content, and nothing sexual involving minors — ever, in any form.
• Violence, threats, or acts that are dangerous to imitate.
• Hate speech or hate symbols, or attacks on people for who they are.
• Harassment, bullying, or targeting a specific person.
• Impersonating someone else, or an offensive handle, picture or cover photo.
• Spam, scams, bots, automation, or misleading content.
• Giving away the answer to a charade — speaking it, spelling it, writing it in a comment, or signalling it. It ruins the game for everyone.
• Attempting to break, probe or overload the Service, to reverse-engineer it, to access data that is not yours, or to script or automate play.

6. Reporting, moderation and enforcement

• Report — every cara and every profile has a report option in the app. You can also email contact@caraidiz.com.
• Block — you can block any user. Blocking hides their content from you and yours from them, removes any follow relationship in both directions, and removes them from your private lists.
• Our response — we review reports of objectionable content and act on violations, including by removing the content and ejecting the user who posted it. We aim to do so within 24 hours of a valid report. These timeframes are good-faith operational targets, not warranties, and create no standard of care beyond what the law requires.
• Appeals — if we removed your content or your account and you think we got it wrong, email contact@caraidiz.com and we will look again.

We may remove content, restrict features, or suspend or terminate an account where these Terms or the Guidelines are broken, where we are required to by law, or where we reasonably believe it is necessary to protect users or the Service.

7. Copyright

If you believe content on Caraidiz infringes your copyright, our notice-and-takedown process and the details a valid notice must contain are on the copyright page. We remove content that is the subject of a valid notice, and we terminate the accounts of repeat infringers.

8. Ads

Caraidiz is free and shows ads. Some ads are optional and rewarded with coins. What advertising partners receive, and how to change your ad-consent choices, is described in the Privacy Policy. Declining personalised ads does not disadvantage you in the game; depending on your region you will then see non-personalised ads or, in some cases, no ads at all.

You can also remove the ads shown between games with a one-time in-app purchase, bought through Apple as described in section 3. The optional rewarded ads that pay coins are unaffected — you can still choose to watch those.

9. Availability and changes to the Service

This is an early-stage product. Features may change, break or be withdrawn, and the Service may be unavailable at times. We may change or discontinue any part of the Service; where a change is material and we can reasonably do so, we will give notice.

10. Third-party services and open-source software

The Service depends on providers including Supabase, Mux, Google (advertising), Resend and Apple. Their own terms apply to what they do. Caraidiz also includes open-source components; their licences and notices are reproduced in the app under Settings → Acknowledgements.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access as described in section 6. Sections that by their nature should survive termination (content licence for copies already distributed, disclaimers, limitation of liability, indemnity, governing law) survive it.

12. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free or secure, or that content posted by other users is lawful or accurate. You use the Service at your own risk.

To the fullest extent permitted by law, we disclaim all warranties, conditions and terms, whether express, implied or statutory, including any implied warranties or conditions of merchantability, satisfactory quality, fitness for a particular purpose, title, and non-infringement. No advice or information, whether spoken or written, that you obtain from us or through the Service creates any warranty we do not expressly make in these Terms.

This section does not exclude anything that cannot lawfully be excluded. If you are a consumer in the EEA, the UK, or a US state that gives you non-excludable rights, you keep the statutory rights, legal guarantees and remedies your law provides, and nothing here affects them. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

13. Limitation of liability

To the fullest extent permitted by law:

• We are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to the Service or these Terms — even if we were advised such loss was possible.
• We are not liable for the content, conduct or acts of any user or third party — including offensive, unlawful or infringing content — or for events outside our reasonable control.
• Our total liability for all claims arising out of or relating to the Service or these Terms is limited to the greater of (a) the total amount you paid us, if any, in the twelve months before the event giving rise to the claim, or (b) one hundred US dollars (US$100). Because Apple, not Caraidiz, processes any coin purchase, the amount you pay us directly is normally zero.

None of the above limits or excludes our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; our gross negligence or wilful misconduct; or anything else that cannot be limited or excluded under the law that applies to you. Nothing in this section removes the statutory rights of consumers in the EEA, the UK or any US state whose law does not permit these limits. Some jurisdictions do not allow the limitation of certain damages, so parts of this section may not apply to you.

14. Indemnity

You agree to indemnify us against claims, losses and reasonable costs arising from content you post or from your breach of these Terms or of the law. To the maximum extent permitted by law, you agree to indemnify, defend and hold harmless Caraidiz Inc. and its officers, directors, employees, agents and service providers from and against any third-party claims, demands, damages, losses, liabilities and reasonable costs and expenses (including reasonable legal fees) arising out of or relating to: (a) content you post; (b) your use of the Service; (c) your breach of these Terms, the Community Guidelines or any law; or (d) your violation of anyone else's rights. We may assume the exclusive defence of any matter subject to indemnification, in which case you agree to cooperate. This section applies only so far as the law that applies to you permits, and does not override any non-excludable consumer protection you have.

15. Changes to these Terms

We may update these Terms. The app records which version you accepted and when. If we make a material change we will publish the new version here and ask you to accept it in the app before you continue.

16. Governing law and disputes

Let's try to sort it out first. Most problems are quick to fix. Before starting formal proceedings, please email contact@caraidiz.com and give us 30 days to resolve the matter with you.

These Terms, and any dispute arising out of or relating to them or to the Service, are governed by the laws of the State of New York and applicable US federal law, without regard to conflict-of-laws rules. The state and federal courts located in New York County, New York have exclusive jurisdiction, and you consent to their jurisdiction and venue.

To the extent permitted by law, you and Caraidiz each agree to bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class, collective or representative action.

If you are a consumer in the EEA, the UK or Switzerland, nothing above takes away the protection of the mandatory law of your country of residence, whether you bring a claim or defend one. The New York governing-law and exclusive-jurisdiction clause does not require you to litigate in New York; you may rely on your local law and your local courts, and the individual-claims and class-action provision above does not apply to you. For a complaint we could not resolve, you can also contact your national consumer alternative-dispute-resolution body, or — for cross-border matters in the EEA — the European Consumer Centres Network (ECC-Net).

17. General

• Severability. If any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permissible and limited or severed to the minimum extent necessary; the remaining provisions stay in full force.
• No waiver. If we do not enforce a provision, that is not a waiver of it or of our right to enforce it later.
• Assignment. You may not transfer or assign these Terms or your account. We may assign them — for example, to a successor in a merger, acquisition or sale of assets.
• Entire agreement. These Terms, together with the Community Guidelines and the Privacy Policy, are the entire agreement between you and Caraidiz about the Service.

18. Apple App Store

If you obtained the app from Apple's App Store, the following also applies:

• These Terms are between you and Caraidiz only, not with Apple. Caraidiz alone is responsible for the app and its content.
• When you use the app you must comply with any applicable third-party terms — for example, your wireless carrier's terms.
• Your licence to use the app is a non-transferable licence to use it on Apple-branded devices you own or control, as permitted by the App Store Terms of Service.
• Apple has no obligation to provide any maintenance or support for the app.
• If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
• Caraidiz, not Apple, is responsible for addressing any claim relating to the app, including product liability claims, any claim that the app fails to conform to a legal or regulatory requirement, and claims arising under consumer protection or similar legislation.
• Caraidiz, not Apple, is responsible for the investigation, defence, settlement and discharge of any third-party claim that the app infringes intellectual property rights.
• You confirm that you are not located in a country subject to a US Government embargo or designated as a "terrorist supporting" country, and that you are not on any US Government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
• Our contact details for questions, complaints and claims are in section 19.
